By accessing the Website, submitting a form or engaging our services, you confirm that you have read, understood and accepted these terms, together with our Privacy Policy, Risk Disclosures and Disclaimers. If you do not agree, please do not use the Website.

Decade Alchemy Pvt Ltd. is a distributor registered with the Association of Portfolio Managers in India (APMI) under registration number APRN04329. We help investors understand, compare and access portfolio management services (PMS), alternative investment funds (AIFs) and related products offered by third-party providers.

• We do not manage portfolios or funds.
• We do not accept, hold or handle client money or securities at any time.
• Every investment is made directly with the relevant product provider, under that provider’s own documents and agreements.

Decade Alchemy Pvt Ltd. is not registered with SEBI as an Investment Adviser and does not provide investment advice within the meaning of the SEBI (Investment Advisers) Regulations, 2013. Information on the Website and in our conversations is provided to help you make your own informed decision.

To use our services, you must:

• be at least 18 years old and legally able to enter into a binding contract;
• complete the Know Your Customer (KYC) requirements of us and the product provider; and
• meet the minimum investment amount for the product concerned — currently ₹50 lakh for PMS and generally ₹1 crore for AIFs, subject to any exceptions the regulations allow.

Non-resident Indians and foreign investors must also comply with the Foreign Exchange Management Act, 1999 and the laws of their country of residence. Some products may not be available in every jurisdiction.

Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any security or financial product. Products are offered only through their official offering documents, and only to eligible investors in jurisdictions where the offer is lawful.

When you use our services, you agree to:

• give us accurate, complete and current information, and tell us promptly when it changes;
• read the product provider’s documents in full before investing — for PMS, the Disclosure Document and client agreement; for AIFs, the Private Placement Memorandum and contribution agreement; and for GIFT City products, the relevant offering documents;
• make your own investment decision, taking independent tax, legal and financial advice where appropriate; and
• never share passwords, one-time passwords (OTPs) or PINs with anyone, including anyone claiming to represent us.

We are remunerated by the product providers whose products we distribute, usually as a trail commission paid out of the provider’s own fees. Our trail is currently approximately 0.75% a year for most products; the exact rate varies by product and provider.

• We do not charge you a separate fee for our distribution services.
• We do not receive upfront commission on PMS investments.
• We disclose the commission applicable to each product to you in writing before you invest.

Product providers charge their own fees — such as management fees, performance fees, operating expenses and exit loads — as set out in their documents. Many portfolio managers and funds also offer a direct route that does not involve a distributor, and you are free to use it.

By submitting a form on the Website, you consent to us contacting you by phone, SMS, WhatsApp or email about your enquiry. You may withdraw that consent at any time by writing to info@indiahedgefunds.com. We will still send service and regulatory communications about any investments you hold.

You agree not to:

• use the Website for any unlawful purpose or in breach of these terms;
• copy, scrape or systematically extract content or data from the Website;
• attempt to gain unauthorised access to, interfere with or disrupt the Website or its infrastructure;
• upload or transmit malicious code; or
• impersonate IndiaHedgeFunds or falsely suggest that you are connected with us.

We may suspend or restrict access to the Website where we reasonably believe these terms have been breached.

The content, design, logos and trademarks on the Website are owned by or licensed to Decade Alchemy Pvt Ltd.. You may view and print pages for your own personal, non-commercial use. You may not reproduce, modify, distribute or otherwise use them without our prior written permission. Third-party names and marks belong to their respective owners.

We take care to keep the Website accurate, but information — including third-party data, fund factsheets, tax rules and regulations — can change and may contain errors or omissions. The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranty as to its accuracy, completeness or fitness for any particular purpose.

The Website may link to third-party websites and services, including regulators’ websites and messaging platforms. We do not control them and are not responsible for their content, availability or privacy practices. Your use of them is governed by their own terms.

To the maximum extent permitted by law, we are not liable for:

• any indirect, incidental, special or consequential loss;
• losses arising from your investment decisions, the performance of any product or movements in the market;
• the acts or omissions of product providers, custodians or other third parties; or
• interruptions to, or errors on, the Website.

Nothing in these terms limits any liability that cannot be limited under applicable law.

You agree to indemnify Decade Alchemy Pvt Ltd. against claims, losses and expenses arising from your breach of these terms, your misuse of the Website, or information you provide that is inaccurate or misleading.

If you have a complaint, please write first to our Compliance Officer and Grievance Officer, Roshini Kumari, at compliance@indiahedgefunds.com. We aim to acknowledge complaints promptly and to resolve them within the timelines set by applicable regulations.

These terms are governed by the laws of India. Subject to any dispute-resolution mechanism required by applicable securities-market regulations, the competent courts at Kota, Rajasthan shall have exclusive jurisdiction over any dispute arising from them.

We may revise these terms from time to time. The “Last updated” date at the top shows when they were last changed. Your continued use of the Website after a change means you accept the revised terms.

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect. Our failure to enforce any provision is not a waiver of our right to do so later.
